Employer Identification Number

An employer identification number (EIN) is a nine-digit number assigned by the IRS. It's used to identify the tax accounts of employers and certain others who have no employees. The IRS uses the number to identify taxpayers who are required to file various business tax returns. We can secure your EIN for you or you can request one from the IRS.

Business Formation

Using a corporation or LLC offers numerous advantages including limited legal liability and easier access to capital. We will request the following information for each business owner/officer: Name, Address, SSN/TIN, and ownership percentage. We also request you name the responsible party.

Registered Agents

A registered agent is a business or individual designated to receive a service of process when a business is a party in a legal action. You can be your own registered agent, and to do so, you must be able to receive legal documents in the state of formation during conventional business hours. If you choose to be your own registered agent, the company will be registered to the first mailing address listed/provided.

Compliance

Compliance refers to staying up to date on all of your taxes and paperwork. This can be a daunting task, but have no fear! We are happy to assist you in staying compliant by sending reminders about deadlines and by handling franchise taxes. Each state which imposes franchise taxes has its own unique complexities, and we are thrilled to demystify these for you.

State Agency Services

Sales and use tax registration requirements and unemployment insurance registration requirements differ from state to state. If your state(s) of operation require you to register, we are happy to do it for you. We will ask for a responsible person’s name, address, social security/taxpayer identification number, business mailing address, business address, EIN number, and business banking information.

What do I get when I register a corporation?

We send you the State's Certificate of Formation, Articles of Incorporation, Corporate Bylaws, a blank Record for Organizational Meeting One, Resignation of the Incorporator, a Share Description Document and a Resolution to Open a Bank Account.

What is the difference between an LLC and a corporation?

Both of these entities offer you limited legal liability. The LLC is taxed like a partnership with tax liabilities generally falling on its owners. The corporation pays a corporate tax. Corporations usually have more formal requirements, but they are also more popular with investors. LLCs generally offer owners more flexibility.

Where do I access my formation documents?

Any email entered in your order form is your gateway to your Bold Horizons Portal. Create an account or sign back in with one of these emails, and you will be able to access a dynamic portal where we will connect with you, send you your documents, and work with you to maintain your ongoing compliance.

What if the name I want to use for my business is taken?

If the state says that your requested name is unavailable, we will contact your primary email immediately with new name suggestions.
